Terms of Service

Version 1.0 — Effective 7 June 2025

1. Acceptance

By accessing scoutsof.tech or hiring SoT, you agree to these Terms and the Privacy Policy.

2. Eligibility

You must be ≥ 18 years old and able to form binding contracts under Czech law.

3. Changes to Terms

We may modify Terms with 14 days' notice. Continued use = acceptance.

4. Our Services

We provide digital product consulting, design & development ("Services"). Specific scopes are defined in individual Statements of Work ("SOWs").

5. Accounts & Authentication

Calendly bookings create a transient profile. You're responsible for safeguarding any credentials you provide.

6. Fees & Payment

Unless otherwise agreed in an SOW, invoices are due 14 days net in EUR via bank transfer. Late payments accrue 0.05% interest per day.

7. Acceptable Use

You shall not:

  • Reverse-engineer or decompile our code;
  • Upload malware or infringing content;
  • Use Services to violate any law (e.g., spam, harassment).

8. Intellectual Property

All content on the site (logos, code, motion graphics) is SoT's property or used under licence. Clients receive a non-exclusive, non-transferable licence to deliverables after full payment.

9. Third-party Links

We're not responsible for external sites. Follow them at your own risk.

10. Disclaimer of Warranties

Services are provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, SoT's total liability for any claim shall not exceed €10,000 or the amount you paid in the preceding 12 months, whichever is lower. We are not liable for indirect or consequential damages.

12. Indemnification

You agree to indemnify SoT against claims arising from your breach of these Terms or misuse of the Services.

13. Termination

We may suspend or terminate access with immediate effect if you violate these Terms. Clauses on IP, liability, and governing law survive termination.

14. Governing Law & Venue

These Terms are governed by Czech law. Exclusive jurisdiction: Municipal Court in Prague. The EU Online Dispute Resolution (ODR) platform is available at https://ec.europa.eu/consumers/odr/.

15. Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control (e.g., war, natural disasters, Internet outages).

16. Miscellaneous

If any clause is found unenforceable, the remainder remains in effect. No waiver of rights by SoT shall be deemed a continuing waiver.
